Business Succession

Could the business continue, transfer or sell without you?

Succession is not one document or one insurance policy. It is the combined plan for ownership, leadership, value, funding and the people affected by a transition. When those pieces are not aligned, a death, disability, retirement or shareholder exit can force decisions at the worst time.

What we offer

A transition plan that works in practice.

Defining the exit outcome

We help owners define the intended outcome, whether that is family succession, a management transition, a shareholder buy-out, a sale or an orderly wind-down. The work may include coordinating an independent business valuation, shareholder and buy-and-sell arrangements, funding, key-person dependencies, loan accounts, sureties, debt, governance, estate liquidity and the treatment of family members or co-owners.

Handling of tax depending on the exit route

We also consider the tax consequences of the chosen exit route, including capital gains tax and donations tax on transfer of value at a succession event and estate duty on succession at death, how existing debt and sureties are treated, whether retained earnings could help fund a buyout, and what happens to key contracts, suppliers and staff during a transition.

Insurance's role and coordination

Insurance may form part of the funding, buy-and-sell cover, key-person cover and other insurance funding are advised on within Victus Group's own licence, but insurance is not the plan itself. Buy-and-sell contracts are handled by Victus Tax and Accounting. We coordinate with attorneys, accountants, tax specialists and risk advisers so the agreements, valuation and funding assumptions can be tested together.

How we think about it

Prepare while there is still room to choose.

A succession plan improves when owners can discuss control, fairness, readiness and timing before an event forces the issue. We identify gaps, assign responsibilities and review the plan as ownership, value or personal circumstances change.

Family businesses carry an additional layer. Fairness between children who work in the business and those who do not is rarely solved by a will alone, and needs to be addressed while relationships
allow it.

Let’s talk

Stress-test the plan before it is needed.

Bring the current agreement, cover, valuation or simply the outcome you want. We will help identify where the pieces do not yet align.
